ABOUT THE POSITION

We are seeking an individual with a high level of intellectual curiosity and a commitment to excellence to join our legal team as a junior member (3-5 years of experience) in the role of Counsel. This role will report to the Deputy General Counsel and focus on handling all legal matters relating to the registered open end mutual funds, private funds and other pooled vehicles, reviewing and negotiating investment management contracts and supporting other regulatory aspects of GQG’s operations as a U.S. registered investment adviser. The Counsel position will track legislative and regulatory developments impacting the business and work across all areas of the firm as well as with external service providers on broad-ranging regulatory, compliance and business matters.  The role will also involve the opportunity to learn and grow, by working with other attorneys on the team and team members in all GQG business departments (including investments, fund operations, client services, and sales), and potentially by taking primary responsibility for supporting other parts of the business in the future.   

The ideal candidate will have at least three years of in-depth experience with the Investment Company Act of 1940 and Investment Advisers Act of 1940.  Knowledge of private fund, collective investment trusts, and institutional account mandates, product development and negotiating complex investment instruments is desirable. Familiarity with regulatory advertising rules, ERISA, securities valuation and broker-dealer/trade execution is also a plus.

KEY RESPONSIBILITIES

  • Support GQG’s proprietary mutual fund and sub-advised fund business (including annual registration statement updates, Board proposals, and annual Section 15(c) reviews)
  • Review selling dealer, sub-administration and similar contracts for proprietary mutual funds
  • Negotiate investment management agreements and investment side letters with institutional clients and investors in pooled vehicles
  • Support firm committees focused on valuation, broker dealer/trade execution and proxy voting
  • Evaluate changes in U.S. regulations and legislation impacting GQG’s business and, in conjunction with other functional areas of the firm, formulate action plans for compliance
  • Support product development as business needs evolve, including new investment fund formation
  • Understand business objectives and needs, clearly communicate legal requirements, and respond collaboratively and strategically to challenges
  • Provide trusted legal support to a wide range of stakeholders, including management, the investment team, compliance, fund administration, sales, and operations.
  • Work with outside counsel as appropriate

QUALIFICATIONS

  • Juris Doctor degree from an accredited law school and admission to the applicable state bar.
  • At least three years of experience in the asset management industry required.
  • Experience reviewing, drafting, interpreting and negotiating contracts of all types and executing on team-based projects.
  • Experience operating in an environment that stresses both individual accountability and team-based performance.
  • Strong interpersonal, organizational, written, and oral communication skills.
  • Demonstrated ability to adapt quickly in a fast-changing environment and maintain a high level of commitment.
  • Demonstrated ability both to think conceptually and spot issues, as well as to focus on detail.
  • Effective problem-solving skills.
  • Ability to use all Microsoft Office software, including Word, Excel and PowerPoint
